Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website at Designesto.ai, the Designesto.ai platform and all associated applications, tools, features, content and services (together, the "Platform" or "Services"), owned and operated by Square Yards Technology Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 3-B, Rajindra Park, Pusa Road, near Rajendra Place Metro Station Gate No. 4, Old Rajinder Nagar, New Delhi 110060, India (the "Company", "Designesto", "we", "us" or "our").

By creating an Account, purchasing Credits, uploading any image, submitting any Prompt, or otherwise accessing or using the Platform, you confirm that you have read, understood and agree to be legally bound by these Terms and by our Privacy Policy available at www.designesto.ai/privacy-policy, which is incorporated into these Terms by reference. If you do not agree, you must not use the Platform.

These Terms constitute an electronic record within the meaning of the Information Technology Act, 2000 and the rules thereunder, and are generated by a computer system. They do not require any physical, electronic or digital signature.

If you accept these Terms on behalf of a company, firm, LLP or other entity (including under the Enterprise Pack), you represent that you are duly authorised to bind that entity, and references to "you" mean that entity and each of its authorised users.

Additional terms may apply to specific features, promotions, referral programmes or enterprise arrangements. Where there is a conflict, the additional terms will prevail for that feature only.

In these Terms, unless the context requires otherwise:

"Account" means the registered user account through which you access the Platform.

"Catalog" means the furniture, décor, fixtures, materials, textures, finishes, colour palettes, templates, presets and other design elements made available by Designesto within the Platform, whether owned by Designesto or licensed to Designesto by third parties.

"Free Plan" means the no-cost Plan under which an eligible Account may receive up to fifty (50) introductory Credits, or such lower amount as is displayed during registration where anti-abuse controls apply. All Free Plan Output bears a Watermark and is subject to the limitations in clause 7.4.

"Plan Credits" means the Credits allotted to your Account as part of, and upon purchase or activation of, a Plan, in the quantity stated for that Plan on the Platform at the time of purchase.

"Top-up Credits" means Credits purchased separately from and in addition to a paid Plan, in the quantity stated for the relevant top-up pack on the Platform at the time of purchase.

"Credits" means Plan Credits and Top-Up Credits, collectively.

"Output" means any image, 360-degree image, render, visualisation, edited, transformed, enhanced, upscaled or restyled image, layout, floor arrangement, design variant, three-dimensional or two-dimensional model, walkthrough, mood board, colour scheme, textual description, product or material suggestion, or other material generated, produced or modified by the Platform in response to User Content, Catalog elements and/or Prompts.

"Plan" means the Free, Basic, Pro, Max or Enterprise Plan, or any other subscription or credit pack offered by Designesto from time to time.

"Prompt" means any instruction, text, selection, parameter, reference or other input you submit to direct the generation of Output.

"User Content" means all photographs, floor plans, drawings, images, files, text, data and other material that you upload to or submit through the Platform.

"Watermark" means any visible or invisible mark, credit, notice, signature, tag, metadata or legally required provenance label applied by Designesto to Output to identify its source or synthetic nature.

The Platform is available only to persons who are 18 years of age or older and who are competent to contract under the Indian Contract Act, 1872. The Platform is not directed at children, and we do not knowingly permit registration by, or process the personal data of, any person below 18 years of age.

You must provide accurate, current and complete information when registering and keep it updated. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account, whether or not authorised by you. You must notify us immediately at connect@designesto.ai of any unauthorised access or suspected compromise.

You may not create multiple Accounts to obtain additional Free Plan Credits, evade limits or circumvent a suspension. Accounts, Credits and login credentials may not be sold, transferred, shared or made available to any third party except as expressly permitted for Enterprise Pack users.

Where a Plan permits multiple users or seats, the subscribing entity remains fully responsible for each authorised user's compliance with these Terms, and for all Credits consumed under its Account.

We may refuse registration, or suspend or close an Account, where we reasonably suspect breach of these Terms, fraud, payment reversal, abuse of promotional offers, or unlawful use.

The Platform is an artificial-intelligence-assisted design, visualization and ideation tool. It enables you to upload photographs, drawings, floor plans and other images of a space, select catalogs, submit Prompts, and receive computer-generated Output. Depending on the features made available to you from time to time, the Services may include artificial-intelligence-assisted image generation, 360 degree image generation, editing, retouching, transformation, restyling, enhancement, upscaling and resolution improvement, object addition, removal, replacement and repositioning, colour, material, finish and lighting variation, spatial layout and re-layout, three-dimensional and two-dimensional rendering and walkthrough generation, mood board and palette generation, and such other design-related artificial intelligence tools, features and outputs as Designesto may introduce, modify or withdraw at any time.

You expressly acknowledge that the Output is an indicative and artistic visual representation only, and is not:

architectural, structural, civil, engineering, electrical, plumbing, fire-safety, building-code, vaastu or feng-shui advice;

a construction drawing, working drawing, shop drawing, bill of quantities, estimate, or dimensionally accurate or scaled plan;

the provision of professional interior design, architectural or valuation services by a licensed professional; or

a representation or warranty that any depicted item, product, brand, material, dimension, colour, finish or arrangement is available, procurable, priced as shown, structurally feasible, code-compliant, or fit for your premises.

Before acting on any Output, you must independently verify all dimensions, load-bearing and structural elements, services, statutory and municipal approvals, society, RWA, landlord or co-owner permissions, and product specifications, and must engage suitably qualified and licensed professionals. Any decision to purchase, demolish, renovate, construct or contract is taken by you at your sole risk.

Generative artificial intelligence is probabilistic. Output may be inaccurate, incomplete, distorted, physically implausible, or may not correspond to your Prompt. We do not warrant that the Output will meet your requirements or be aesthetically satisfactory to you.

Output is not unique. Identical or similar Prompts submitted by you or by other users may generate identical or substantially similar Output, and we may generate similar Output for others.

Any product, brand, vendor, dealer, contractor, designer or service provider referenced, displayed or linked within the Platform appears for illustrative or informational purposes only. This does not constitute an endorsement or recommendation, and Designesto is not a party to, and accepts no responsibility for, any transaction, dealing or dispute between you and any such third party.

The Prices, discounts, Credit allotments and Plan inclusions are displayed on the Platform at the time of purchase.

Credits are consumed on generation. As at the Effective Date, one standard image generation consumes five (5) Credits and one 360-degree image generation consumes fifteen (15) Credits. Other features may consume different amounts displayed before generation. We may revise consumption rates prospectively and will publish the applicable rate on the Platform.

Credits are also consumed where a generation is completed but the Output does not meet your expectations. Credits are not refunded or restored on that basis. Where a generation fails wholly due to a technical fault on our side, we will restore the Credits consumed.

Prices stated on the Platform are inclusive of applicable taxes unless expressly stated otherwise.

Struck-through prices displayed on the Platform are our standard list prices. Discounts are promotional, time-limited and may be withdrawn or varied at any time without notice.

Credits: (a) are prepaid; (b) Plan Credits expire one (1) month from purchase or Plan activation, and Top-up Credits expire twelve (12) months from purchase; (c) Top-up Credits may be used only while an eligible paid Plan is active and are frozen, not consumed or extended, while no eligible paid Plan is active; (d) are personal to your Account and may not be transferred, assigned, pooled, resold, exchanged, gifted or traded; (e) carry no monetary value and are not a deposit, security, stored-value instrument, prepaid payment instrument or e-money; and (f) are not redeemable for cash.

Recurring billing. Unless the Platform clearly states otherwise at purchase, each paid subscription automatically renews each month until cancelled. At the start of each billing period, the payment gateway may charge your selected payment method the then-applicable subscription fee and taxes.

Cancellation. You may cancel a paid subscription using the account or plan-management controls made available on the Platform. Cancellation stops future renewal charges. Your paid Plan and remaining Plan Credits continue until the end of the current paid billing period and then expire, unless applicable law requires otherwise. Cancellation does not create a refund for the current billing period except where required by law.

Price changes. We may change subscription prices prospectively. Where required by law, we will give reasonable advance notice before a new price applies to a renewal, and you may cancel before the renewal date.

No refunds. Except where required by applicable law or expressly stated in these Terms, fees and charges are final and non-refundable. No refund, exchange or cash equivalent is provided for unused or expired Credits, dissatisfaction with Output, non-use of the Platform or voluntary Account closure. Where a generation fails wholly due to a verified technical fault on our side, clause 5.3 applies and the consumed Credits will be restored.

Payments are processed by third-party payment gateways and processors. We do not collect or store your complete card number, CVV, UPI PIN, net-banking credentials or equivalent. Your use of such gateways is subject to their terms and privacy policies.

If a payment fails, is reversed, charged back or disputed, we may suspend the Account and cancel Credits attributable to that payment while the matter is investigated. We encourage you to raise a grievance under clause 17 before initiating a chargeback so that we can attempt to resolve the issue, but nothing in these Terms limits any non-waivable right to dispute a payment under applicable law or card-network rules.

For invoiced or Enterprise Pack purchases, you must furnish the correct legal name, address and GSTIN before invoicing. We are not liable for any loss of input tax credit or tax benefit arising from incorrect, incomplete or belated details furnished by you.

You retain all ownership rights in your User Content. We claim no ownership of your User Content.

You grant Designesto a worldwide, non-exclusive, royalty-free licence, sub-licensable only to service providers acting for us, to host, store, cache, transmit, reproduce, crop, resize, adapt, analyse and process User Content solely to: (a) operate, provide, secure and support the Platform; (b) generate, deliver and store Output; (c) prevent fraud, abuse and unlawful content; and (d) comply with law and enforce these Terms. Use for Model Improvement is not included in this general service licence and occurs only where you provide separate, express and optional consent under the Privacy Policy.

You represent, warrant and undertake in respect of all User Content that:

you own it or hold all rights, licences, consents and permissions necessary to upload it and to grant the licence in clause 6.2;

it does not infringe or misappropriate any copyright, trade mark, design, patent, trade secret, confidentiality obligation, right of privacy or right of publicity of any person;

you have the right to photograph and submit images of the premises depicted, and where the premises are not owned by you, you have obtained the owner's or occupier's permission; and

you have obtained the free, informed and specific consent of every identifiable individual appearing in any image you upload.

You must not upload: (a) photographs in which any individual is identifiable (we ask that room photographs be taken without persons in frame); (b) any image or data relating to a person below 18 years of age; (c) biometric data, facial images, fingerprints or iris scans; (d) identity documents, financial statements, card or bank details, health or medical records, or other sensitive personal data; (e) third-party architectural or design drawings, catalogues or renders in which you hold no rights; or (f) content that is obscene, pornographic, defamatory, invasive of privacy, insulting or harassing on the basis of gender, religion, racially or ethnically objectionable, or otherwise unlawful.

We have no obligation to monitor User Content, but we may through automated tools, human review or both, screen, review, refuse to process, restrict, watermark, remove or disable access to any User Content or Output that we reasonably believe breaches these Terms or applicable law, and may report the same to law enforcement authorities. We may retain copies where required for legal, regulatory, security or evidentiary purposes.

The Platform provides a History feature that retains User Content, Prompts and Output in your Account for access, re-use and download. History is a convenience feature and not a guaranteed backup or archival service, and you remain responsible for keeping copies. On an Account-deletion request, access ends immediately and Designesto manually deletes the Account, History and associated User Content from active systems within 30 days, except information retained as required by law or for fraud prevention, security, disputes or legal claims.

As between you and Designesto, you retain any rights that applicable law recognises in Output created specifically for you. Designesto and its licensors retain all rights in the Platform, software, models, algorithms, Catalog, Assets, templates, presets, trademarks and other pre-existing or underlying materials. No right in those underlying materials is transferred merely because it appears in Output.

Subject to compliance with these Terms and payment of applicable fees, Designesto grants you a worldwide, perpetual, non-exclusive, royalty-free licence to use, reproduce, publish, display, distribute, adapt and share paid Output for personal, business, professional, commercial, promotional and advertising purposes, including client presentations, proposals, tenders, portfolios, property listings, brochures, social media and advertising. You may provide such Output to clients, collaborators, publishers, platforms and contractors as reasonably necessary for those purposes. A legally required provenance label or metadata does not reduce these commercial-use rights. This licence is irrevocable except where the relevant Output was generated through fraud, unlawful activity, infringement or a material breach affecting that Output.

You must not: (a) use the Output, User Content or Platform to develop, train, fine-tune or benchmark any artificial intelligence model or competing product; (b) extract, isolate or redistribute the catalogs separately from the Output; (c) use the Output in any manner prohibited by clause 8 or by law.

All Free Plan Output bears a Watermark and may be used only for personal and domestic purposes unless the Platform expressly states otherwise. You must not remove, obscure, crop out, alter, mask or overlay a Watermark, or remove metadata or provenance information required by law. Designesto will apply source or synthetic-media labels to Output where required by applicable law. You are responsible for preserving legally required disclosures when publishing or distributing Output and must not misrepresent AI-generated Output as an authentic, unaltered photograph.

Commercial rights under clause 7.2 are included by default with the purchase of an eligible paid Plan and do not require a separate commercial-rights add-on, unless a specific third-party Asset is clearly identified on the Platform as subject to additional licence terms before use.

The licence in clause 7.2 survives expiry or termination for paid Output lawfully generated before termination. It may be revoked only for the limited grounds stated in clause 7.2, following written notice identifying the affected Output and reason.

Designesto will use Output or User Content for public showcases, marketing or case studies only where you have separately opted in. Model Improvement is governed separately by the Privacy Policy. You may withdraw marketing/showcase consent at any time at connect@designesto.ai, and we will stop new use prospectively and remove controlled public placements within a reasonable period.

We make no representation that the Output is capable of copyright or design protection, is registrable, or is free of third-party rights, in India or elsewhere. The legal status of AI-generated works is unsettled and may change.

You must not, and must not permit or enable any person to:

use the Platform for any unlawful, fraudulent, misleading, infringing or harmful purpose, or in breach of any applicable law.

generate, upload or distribute content that is obscene, sexually explicit, paedophilic, violent, hateful, harassing, defamatory, or that impersonates any person or entity;

reverse engineer, decompile, disassemble, scrape, crawl, spider, mirror, index, extract model weights or prompts from, or otherwise attempt to discover the source code, architecture, training data or underlying models of the Platform;

use bots, scripts, automated tools, headless browsers or any means other than the interfaces we provide to access the Platform, or exceed any rate, volume or concurrency limits we apply;

circumvent, disable or interfere with any security feature, Watermark, legally required provenance label, content filter, authentication, metering or Credit-accounting mechanism;

resell, sublicense, rent, lease, white-label or make the Platform or Credits available to third parties as a service, or use the Platform on behalf of an undisclosed third party, except as expressly permitted under a Enterprise Pack or written agreement;

introduce any virus, malware, worm, trojan or other malicious code, or conduct any penetration testing, load testing, denial-of-service or vulnerability scanning without our prior written consent;

use the Platform to develop, train or improve any competing artificial intelligence system, model or design product; or

infringe or misappropriate the intellectual property or confidential information of Designesto or any third party.

On breach of this clause 8.1, we may (without prejudice to our other rights and without liability) restrict features, remove content, suspend or terminate your Account, forfeit unused Credits, and disclose relevant information to law enforcement authorities, courts and affected rights-holders.

The Platform, including its software, source code, models, algorithms, Catalog and Catalog libraries, templates, presets, user interface, design, text, graphics, compilations, documentation and all intellectual property therein, is owned by or licensed to Designesto and is protected under applicable intellectual property laws.

The Platform relies on third-party services including artificial intelligence model and inference providers, cloud hosting and storage providers, content delivery networks, analytics providers and payment gateways. Their processing of data is described in the Privacy Policy.

The Platform may contain links to, or integrations with, third-party websites, marketplaces, vendors, designers, contractors and service providers. We do not control and are not responsible for their content, products, services, pricing, delivery, quality, workmanship or privacy practices. Any contract you enter into with such third party is solely between you and that third party.

We aim to keep the Platform available but do not warrant uninterrupted, timely, secure or error-free operation. Access may be suspended for maintenance, upgrades, security, capacity or technical reasons, or due to failures of third-party infrastructure or telecommunications.

We may add, modify, restrict, suspend or discontinue any feature, Asset, model, Plan or part of the Platform at any time.

These Terms take effect when you first access the Platform and continue until terminated in accordance with this clause.

You may request Account deletion through the Platform. Access is deactivated immediately, unused Credits lapse without refund subject to applicable law, and permanent manual deletion from active systems is completed within 30 days as described in the Privacy Policy.

We may suspend or terminate your Account or access, in whole or in part, with immediate effect where: (a) you materially breach these Terms; (b) we reasonably suspect fraud, payment reversal, unlawful use or infringement; (c) required by law, regulation, court or competent authority; or (d) continued access poses a risk of harm to us, other users or third parties. Where the breach is capable of remedy and no such risk arises, we will give you reasonable notice and an opportunity to remedy.

On termination: (a) the right to access the Platform ceases immediately; (b) unused Credits are forfeited without refund, subject to applicable law; and (c) User Content and Output are deleted in accordance with the 30-day process and retention exceptions stated in the Privacy Policy.

Any provision which by its nature should survive, will survive termination.

To the maximum extent permitted by applicable law, the Platform, the catalogs and the Output are provided "as is" and "as available", without warranty, condition or representation of any kind, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, title or non-infringement.

Without limiting clause 13.1, we do not warrant that: (a) the Platform will be uninterrupted, secure, timely or free of errors, bugs, viruses or harmful components; (b) the Output will be accurate, complete, reliable, novel, non-infringing, buildable, code-compliant, dimensionally correct or achievable within any budget or timeline; (c) defects will be corrected; or (d) results obtained from use of the Platform will meet your expectations or requirements.

No advice, information or statement, whether oral or written, obtained from Designesto or through the Platform creates any warranty not expressly stated in these Terms.

To the maximum extent permitted by applicable law, Designesto and its affiliates, directors, officers, employees, agents, licensors and service providers are not liable for indirect, incidental, special, consequential, punitive or exemplary loss, or loss of profit, revenue, business, opportunity, goodwill, anticipated savings, or loss or corruption of data, whether or not foreseeable.

Designesto is not liable for costs or losses arising from construction, demolition, renovation, procurement or other action taken in reliance on Output. Subject to liabilities that cannot lawfully be limited or excluded, Designesto's aggregate liability arising from the Platform or these Terms will not exceed the fees you actually paid to Designesto during the twelve (12) months immediately preceding the event giving rise to the claim; where no fee was paid, the aggregate cap is INR 5,000. Nothing in these Terms excludes liability for fraud, wilful misconduct, or any non-waivable statutory consumer right.

You shall indemnify, defend and hold harmless the Platform, Designesto, its affiliates and their respective directors, officers, employees and agents from and against all claims, demands, proceedings, losses, liabilities, damages, fines, penalties, costs and expenses arising out of or in connection with: (a) your User Content or Prompts; (b) your breach of these Terms or of any applicable law; (c) your use of, or any act or omission in reliance on, any Output; (d) any infringement or misappropriation of third-party intellectual property, privacy, publicity or confidentiality rights by you; (e) any claim by a person appearing in, or by an owner or occupier of premises depicted in, your User Content; and (f) any tax, duty or levy payable in respect of your use of the Platform.

We will notify you of any such claim, and you shall not settle it in a manner that imposes any obligation or admission on Designesto without our prior written consent. We reserve the right to assume the exclusive defence of any such claim at your cost.

Neither party is liable for failure or delay caused by an event beyond its reasonable control, including an act of God, flood, fire, earthquake, epidemic or pandemic, war, terrorism, riot, civil unrest, strike, government action or restriction, change in law, failure of internet, telecommunications, electricity or cloud infrastructure, or failure of a third-party model or hosting provider.

These Terms and any dispute arising out of or in connection with them or the Platform shall be governed by and construed in accordance with the laws of India.

The courts at New Delhi, India shall have exclusive jurisdiction.

Amendments. We may amend these Terms by publishing a revised version with a revised effective date. We will provide appropriate advance notice of material changes where required by law. Continued use after the effective date constitutes acceptance only to the extent permitted by applicable law.

Notices. Notices to you may be sent to the email address registered on your Account. Legal notices to us must be sent to legal@designesto.ai, with a copy to our registered office at 3-B, Rajindra Park, Pusa Road, near Rajendra Place Metro Station Gate No. 4, Old Rajinder Nagar, New Delhi 110060, India. Service, privacy and grievance queries may be sent to connect@designesto.ai.

Consumer rights and severability. Nothing in these Terms limits a right or remedy that cannot be waived under applicable consumer or other law. If any provision is invalid, illegal or unenforceable, it will be severed or read down only to the minimum extent necessary, and the remaining provisions will continue in force.

Waiver. No failure or delay in exercising any right constitutes a waiver of it, and no waiver is effective unless in writing.

Relationship. Nothing in these Terms creates any partnership, joint venture, agency, franchise or employment relationship between the parties.

Entire agreement. These Terms, the Privacy Policy and any applicable additional terms constitute the entire agreement between you and Designesto concerning the Platform and supersede prior communications and representations on that subject.

Language and interpretation. These Terms are executed in the English language, which shall prevail over any translation.
